1The Software and License Grant
Quantum Power is a browser-based electrical power system analysis software for design engineers, consulting firms, EPC contractors, and facility operators. Subject to your compliance with these Terms and payment of the applicable subscription fees, WAMO grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service on a per-seat basis for your internal professional engineering work. Each seat is for use by a single named user; concurrent sharing of a single seat by multiple individuals is not permitted.
2License Restrictions
You agree that you will not, and will not permit any third party to:
- copy, modify, translate, or create derivative works of the Service;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Service, except to the extent such restriction is expressly prohibited by applicable law;
- rent, lease, lend, sell, sublicense, assign, distribute, or otherwise commercially exploit or make the Service available to any third party, including as a service bureau;
- circumvent or disable any licensing, security, or authentication mechanism, or access the Service other than through the interfaces we provide;
- use the Service to develop a competing product, or to benchmark it for the purpose of building a competing product; or
- use the Service in violation of any applicable law, regulation, or third-party right.
3Professional Engineer Responsibility & Intended Use
Quantum Power is an analysis and documentation tool intended to support the engineering process. It is not a substitute for professional engineering judgment. Per jurisdiction-specific licensure regulations, deliverables that require a Professional Engineer (PE) seal — including construction documents, equipment procurement specifications, permit submittals, arc flash equipment labels, and life-safety designs — must be reviewed, validated, and stamped by a licensed Professional Engineer before use. This is a regulatory requirement that applies to output from any analysis software, regardless of validation pedigree.
You are solely responsible for the accuracy of all input data — including equipment parameters, nameplate values, impedances, conductor specifications, source contributions, and one-line topology — and for verifying that the model reflects as-built field conditions. Solver results reflect the quality of those inputs. You are responsible for the interpretation, application, and engineering review of all results.
4Standards and Code References
The Service references industry codes and standards which may include, without limitation, NFPA 70 (National Electrical Code), NFPA 70E, and standards published by IEEE and ANSI. References to such standards are provided as engineering aids. Code adoption varies by jurisdiction and editions are adopted on a rolling basis. You are responsible for confirming the codes, editions, and local amendments in force in your jurisdiction and for ensuring that any deliverable complies with applicable requirements.
5Disclaimer of Warranties
The service is provided "as is" and "as available," without warranty of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, WAMO disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. WAMO does not warrant that the service will be uninterrupted, error-free, or secure, or that any result obtained from the service will be accurate or reliable.
No advice or information, whether oral or written, obtained from WAMO or through the Service, creates any warranty not expressly stated in these Terms. As with every commercial power-systems analysis tool, the absence of warranty does not relieve the user of responsibility for input accuracy, result interpretation, and required Professional Engineer review.
6Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall WAMO, its members, officers, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of or inability to use the Service, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if WAMO has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, WAMO's total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the amounts actually paid by you to WAMO for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
7Indemnification
You agree to indemnify, defend, and hold harmless WAMO and its members, officers, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, your input data, your deliverables, or your violation of these Terms or any applicable law or third-party right.
8Intellectual Property
The Service, including all software, solver algorithms, user interfaces, text, graphics, and documentation, and all intellectual property rights therein, are and remain the exclusive property of WAMO Power Engineering, LLC and its licensors. These Terms grant you no rights to the Service except for the limited license expressly stated. "Quantum Power," "WAMO," and associated logos are marks of WAMO Power Engineering, LLC.
Your data remains yours. WAMO claims no ownership of the project models, study inputs, or deliverables you create using the Service. As between you and WAMO, you retain all rights to your project data and work product.
9Accounts, Subscriptions, and Billing
Access to the Service requires an account and an active per-seat subscription. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Subscription fees, billing terms, trial periods, and discounts are as described at the time of purchase and may be updated for future terms. Except as required by law or as expressly stated at the time of purchase, fees are non-refundable.
10Term and Termination
These Terms remain in effect while you use the Service. You may stop using the Service at any time; cancellation of a subscription takes effect at the end of your then-current paid term. WAMO may suspend or terminate your access if you breach these Terms or if required to protect the Service or comply with law. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
11Changes to the Service and These Terms
The Service is under active development and its features, methods, and availability may change. We may revise these Terms from time to time. When we do, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after revised Terms take effect constitutes acceptance of the changes.
12Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Service shall be the state and federal courts located in Hillsborough County, Florida, and you consent to the personal jurisdiction of those courts.
13User Acknowledgement
By using Quantum Power, you acknowledge that you (a) will obtain Professional Engineer review of deliverables requiring a PE seal; (b) are responsible for input data accuracy and engineering interpretation; and (c) accept the disclaimers and limitations of liability set out in these Terms.
